Second and Final Notice of AGM - Adoption of New Constitution

On 13 July 2026, we wrote to you with a draft new Constitution and Regulations, together with a Member Explainer prepared by our Constitution Review Committee, following a comprehensive review of the Club’s corporate governance framework against the approach recommended by SLSNSW.

We are grateful to everyone who took the time to read the draft and raise questions during the comment period that followed. That feedback, together with further input from our Board, our Constitution Review Committee, and our pro bono legal counsel Baker McKenzie, has now been fully considered and, where appropriate, incorporated. The Board has approved the Constitution and Regulations in the form now published on our website, alongside an updated Member Explainer.

This is the final version of the Constitution. We are now within the 21 day final notice period required before our Annual General Meeting, and the Constitution is accordingly presented to you in the form the Board is asking members to adopt, not as a further draft open to comment. This reflects the full and considered outcome of a thorough governance review, and the Board is satisfied it is now ready to be put to members for a vote at the AGM.

Our Annual General Meeting will be held at 2pm on Sunday, 23 August 2026 at Bondi Surf Bathers Life Saving Club, Queen Elizabeth Drive, Bondi Beach NSW 2026. Adoption of the new Constitution will be considered by Special Resolution, requiring a 75 percent majority of votes cast. If members approve its adoption, the Board will separately consider adoption of the new Regulations once the Constitution is registered by NSW Fair Trading.

An enormous amount of care has gone into this review, and we thank everyone who contributed: members, our Constitution Review Committee chaired by Matt Kuppe, our Board, and our legal counsel. We believe this Constitution will serve Bronte well for years to come, the Board recommends its adoption, and we look forward to your support at the AGM.
